Terms of Service

Acceptance of Terms

By accessing or using Deepscope (“the Platform,” “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, discontinue use immediately.

These Terms constitute a legally binding agreement between you (individual or organization) and Deepscope, Inc. (“Deepscope,” “we,” “our,” or “us”).

1. Eligibility

• You must be at least 18 years old to use the Service
• You must provide accurate, current, and complete registration information
• You are responsible for maintaining the security of your account credentials

2. Organization Accounts

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Security

• You are responsible for all activity under your account
• Notify us immediately of any unauthorized access at hello@deepscope.app
• We reserve the right to suspend accounts for security reasons

Acceptable Use

You May:

• Use the Platform for lawful engineering visibility and workflow optimization
• Connect your GitHub, Slack, and other supported integrations
• Export your data in machine-readable formats

You May Not:

• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to violate any laws or third-party rights
• Scrape, crawl, or automate access beyond our public API limits
• Share your account credentials or resell access to the Platform
• Upload malware, viruses, or malicious code to our systems
• Interfere with or disrupt the integrity or performance of the Service

Data Processing & Ownership

1. Your Data Ownership

You retain all rights to your input data. By using the Service, you grant Deepscope a limited, non-exclusive license to process your metadata for the sole purpose of providing the Service.

2. Data Processing Agreement (DPA)

For enterprise customers, we will execute a separate Data Processing Agreement compliant with GDPR, CCPA, and other applicable regulations.

3. AI Model Training

Aggregated, anonymized insights may be used to improve our machine learning models. Opt-out is available upon request. We never use your proprietary code or business logic without explicit written consent.

• Subscription: Fees are billed monthly or annually in advance
• Payment Method: We accept credit cards via Stripe (PCI-DSS compliant)
• Auto-Renewal: Subscriptions renew automatically unless canceled 7 days before renewal
• Refunds: Pro-rated refunds available within 14 days of initial purchase; no refunds for renewals
• Price Changes: We will notify you 30 days before any price increase
• Late Payment: Accounts 15+ days overdue may be suspended

1. By You

You may cancel your account at any time from Settings. Data deletion requests will be honored within 30 days.

2. By Deepscope

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for 12+ months
• We detect fraudulent activity or abuse
• Required by law or court order

We will provide 14 days’ notice for non-urgent terminations, except in cases of severe abuse or legal obligations.

Warranties & Disclaimers

We do not guarantee:

• 100% uptime or uninterrupted access
• Accuracy of AI-generated insights
• Compatibility with all third-party integrations
• Prevention of all security breaches

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPSCOPE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from third-party integrations (GitHub, Slack, etc.)

Cap on Liability: Our total liability to you for any claim shall not exceed the fees you paid in the 12 months prior to the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Deepscope, its affiliates, and personnel from any claims, damages, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Violation of these Terms
• Infringement of third-party rights

Changes to These Terms

We may update these Terms periodically. Material changes will be notified via email 30 days in advance. Continued use after changes take effect constitutes acceptance.

Governing Law & Disputes

These Terms are governed by the laws of [State/Country], without regard to conflict of law provisions.

Dispute Resolution: Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), except for claims seeking injunctive relief.

Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

These Terms, together with our Privacy Policy and any executed DPA, constitute the entire agreement between you and Deepscope.
